PRIVATE MEMBERSHIP ASSOCIATION AGREEMENT
PRIVATE CONTRACT, TRUST GOVERNANCE & INTERNATIONAL RIGHTS FRAMEWORK
This Private Membership Association Agreement (“Agreement”) establishes a binding contractual relationship between the individual (“Member”) and the MelanationProject Private Membership Association (“Association”), a private contractual entity administered under a Private Trust (“Trust”).
By accessing, registering for, or participating in any platform, application, or service operated by the Association, including but not limited to the Human Modding ecosystem, the Member voluntarily and knowingly enters into this private contractual relationship governed by the terms herein and all associated governing documents.
1. Private Jurisdiction & Contractual Nature
The Association operates within the private domain as a membership-based contractual entity.
- The Association is not a public service, public accommodation, or governmental body
- All interactions are governed by private contract law and internal governance frameworks
- Participation is based on voluntary agreement, not public access rights
Nothing in this Agreement is intended to override mandatory legal obligations that cannot be contractually waived.
2. International Rights Alignment
The Association affirms alignment with universally recognized principles of human rights, including:
- Freedom of association
- Freedom of expression (within private standards)
- Right to privacy
- Right to self-determination
These principles form the foundation of voluntary participation within the Association.
Participation does not require the waiver of non-waivable rights under applicable law.
3. Membership Nature & Conditions
Membership is:
- Voluntary and based on informed consent
- Conditional upon compliance with all policies, protocols, and governance standards
- Revocable at the discretion of the Association
Members acknowledge that access is a privilege within a private system and may be modified or revoked.
4. Scope of Services
The Association provides Members with access to:
- Educational and self-development systems
- Wellness and performance optimization tools
- Gamified training and progression environments
- Community-based interaction and collaboration platforms
These offerings are private member benefits and do not constitute public services.
5. Non-Public Offering & Regulatory Position
Nothing within the Association constitutes:
- A public offering of securities or financial instruments
- Medical, clinical, or therapeutic services
- Legal or financial advisory services
- Employment, wages, or compensation arrangements
All systems are provided for private, educational, and self-directed purposes only.
6. Member Responsibilities
Members agree to:
- Comply with all Association policies and guidelines
- Act in good faith within the community
- Maintain the integrity of platform systems
- Ensure their activities comply with applicable laws in their jurisdiction
Members are solely responsible for their conduct and use of the platform.
7. Right to Refuse, Restrict, or Revoke Membership
The Association reserves the absolute right, at its sole discretion, to:
- Deny membership applications
- Suspend or restrict access
- Terminate membership without prior notice where necessary
Such actions may be taken to preserve system integrity, compliance, or community standards.
8. Intellectual Property & System Ownership
All platform systems, assets, and intellectual property are owned by the Trust.
Membership does not grant ownership, equity, or proprietary rights in the Association or its assets.
Use of the platform is governed by limited, revocable licenses as defined in applicable policies.
9. Data Governance & Privacy
Member data is processed in accordance with the Association’s Privacy Policy.
Members acknowledge that:
- Data may be processed across jurisdictions
- Reasonable safeguards are implemented
- Participation constitutes consent to such processing
10. Dispute Resolution & Arbitration
All disputes arising from or relating to this Agreement or platform participation shall be resolved through private, binding arbitration.
- Arbitration shall be conducted by an arbitrator or body selected by the Association
- Members waive the right to participate in public court proceedings or class actions, except where prohibited by applicable law
This clause is intended to be enforced to the maximum extent permitted across jurisdictions.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Association and Trust shall not be liable for indirect, incidental, or consequential damages
- Liability is limited to the minimum extent required by law
Members participate at their own risk.
12. International Compliance & Jurisdictional Limitations
Members acknowledge that:
- Laws and regulations vary across jurisdictions
- Certain features or services may be restricted based on location
- The Association may modify access to maintain compliance
Nothing in this Agreement is intended to circumvent mandatory legal requirements.
13. Amendments & Updates
The Association reserves the right to update or modify this Agreement at any time.
Continued participation constitutes acceptance of any updated terms.
14. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
15. Entire Agreement
This Agreement, together with all related policies and governing documents, constitutes the complete agreement between the Member and the Association.
16. Acknowledgment & Consent
By registering, accessing, or using the platform, the Member:
- Confirms that they have read and understood this Agreement
- Voluntarily agree to all terms and conditions
- Accept participation within a private membership structure governed by contract
